We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately.

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither the Company nor any of the company's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.

By opting into Hypercars Spotter, you will receive text message notifications about new vehicle listings that match your search preferences.

You can cancel the SMS service at any time. Just text STOP to the number you received the notification from. After you send STOP to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just text SPOT to the same number or sign up as you did the first time and we will start sending SMS messages to you again.

Hyper Predictions is a skill-based prediction market that allows users to make predictions on auction outcomes using real money. Outcomes are determined based on publicly verifiable event results, and user success depends on knowledge, research, analysis, and judgment rather than chance.

Hyper Predictions and Hypercars Technologies Inc. are not affiliated with, endorsed by, sponsored by, or otherwise associated with any auction platforms, marketplaces, sellers, or listing providers whose data, listings, or auction outcomes may be referenced or used for purposes of Hyper Predictions.

Hyper Predictions does not operate, control, conduct, or participate in the underlying auctions or listings, does not act as a broker, agent, auctioneer, or intermediary, and has no influence over listing terms, bidding activity, reserve prices, seller behavior, or final auction outcomes.

Any references to third-party auctions, listings, prices, or results are provided solely for informational and predictive purposes. The accuracy, completeness, and availability of such information are not guaranteed, and Hypercars Technologies Inc. disclaims any responsibility or liability arising from errors, delays, cancellations, or changes related to third-party auction or listing activity.

Participation in Hyper Predictions is strictly limited to individuals who are at least eighteen (18) years of age, or the age of majority in their jurisdiction, whichever is higher.

By accessing or participating in Hyper Predictions, You represent and warrant that (i) You meet the applicable age requirements, (ii) Your participation is lawful in your state, country, or jurisdiction, and (iii) You are not prohibited from engaging in skill-based prediction markets involving real money.

You are solely responsible for determining whether participation in Hyper Predictions is permitted under applicable laws in your jurisdiction. Hyper Predictions is not available in jurisdictions where such activities are restricted or prohibited.

The Company reserves the right to verify Your age and identity at any time, including through third-party verification services, and to restrict, suspend, or terminate access to Hyper Predictions if You fail to satisfy eligibility requirements or provide false, misleading, or incomplete information.

Participation in Hyper Predictions is not available to individuals who are located in, ordinarily resident in, or subject to the laws or jurisdiction of any country or region that is subject to economic or trade sanctions, embargoes, or restrictions administered or enforced by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC") or any other applicable governmental authority.

By accessing or participating in Hyper Predictions, You represent and warrant that You are not located in, a citizen or resident of, or otherwise subject to the jurisdiction of any such sanctioned or restricted country or region, and that Your participation does not violate any applicable sanctions, export control, or anti-money laundering laws or regulations.

Participation in Hyper Predictions involves financial risk. You may lose some or all of the funds You contribute. You acknowledge and agree that You participate at Your own risk and that the Company does not guarantee any outcome, profit, or success.

You should only participate using funds that You can afford to lose. The Company is not responsible for any losses incurred as a result of participation in Hyper Predictions.

Outcomes for Hyper Predictions are determined using publicly available, verifiable sources and methodologies selected by the Company in its sole discretion.

The Company's determination of outcomes, settlement, and resolution of predictions shall be final and binding, absent manifest error. The Company reserves the right to delay, void, adjust, or cancel outcomes due to data errors, technical issues, source unavailability, suspected manipulation, or extraordinary circumstances.

You agree not to engage in any conduct that undermines the integrity, fairness, or lawful operation of Hyper Predictions or any underlying third-party auctions, listings, or marketplaces referenced by the Service, including but not limited to market manipulation, collusion, coordinated activity, shill bidding, bid suppression, wash bidding, use of bots or automated systems, creation of multiple accounts, exploitation of platform vulnerabilities, interference with auction processes, or use of non-public or insider information.

The Company reserves the right to investigate, restrict, suspend, reverse, or terminate participation or accounts, with or without notice, where prohibited conduct is suspected, including conduct that impacts third-party auction integrity or outcomes used by Hyper Predictions.

All participation fees, prediction submissions, and digital asset transfers are final and non-refundable, except as expressly required by applicable law.

You agree not to initiate chargebacks or payment reversals related to Hyper Predictions. Unauthorized chargebacks may result in suspension or termination of Your account.

Hyper Predictions is designed primarily as an informational and analytical tool to aggregate user insights, expectations, and collective judgment regarding auction outcomes. Data generated through Hyper Predictions may be used by the Company to inform, enhance, and power evaluations, analytics, pricing models, rankings, and market insights across the Hypercars platform.

Participation contributes to the creation of aggregate, anonymized, and statistical information that may be incorporated into Hypercars products and services for research, analytical, and product improvement purposes.

Individual predictions do not represent facts, guarantees, or authoritative outcomes and should not be relied upon as the sole basis for financial, purchasing, or investment decisions.

Hyper Predictions is provided for informational and entertainment purposes only and does not constitute investment, financial, legal, or professional advice.

Hyper Predictions is not offered as a security, commodity contract, or investment product and does not create any fiduciary relationship between You and the Company.

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of funds, digital assets, profits, or data, arising from or related to Your use of Hyper Predictions.

You agree to indemnify, defend, and hold harmless the Company from any claims, damages, losses, liabilities, costs, and expenses arising out of Your use of Hyper Predictions, Your violation of these Terms, or Your violation of applicable law.

Certain transactions on Hyper Predictions are executed via smart contracts created and controlled by Hyper Predictions, which automatically deduct fees from applicable transactions.

Fees may vary by transaction, market, or activity, and are set by Hyper Predictions in its sole discretion.

All fees are enforced programmatically at the smart contract level and are automatically deducted at the time of execution or settlement, without further action by You.

By interacting with Hyper Predictions smart contracts or platform, You acknowledge and agree that fees are final, non-refundable, and irreversible once executed onchain.

Fees are separate from and in addition to any blockchain network fees, gas costs, or third-party fees incurred in connection with a transaction.

The Service may provide access to embedded digital asset wallets and related services powered by third-party providers, including Coinbase. These services are subject to the terms and policies of the applicable third-party provider.

The Company does not operate, control, custody, or have access to digital asset wallets, private keys, seed phrases, or assets held within embedded wallets.

All blockchain transactions are irreversible once confirmed. You are solely responsible for safeguarding Your wallet credentials and verifying transaction details.

The Company is not responsible for any loss resulting from wallet provider outages, smart contract failures, network congestion, incorrect addresses, unauthorized access, user error, gas fees, or third-party actions.

Use of digital assets involves inherent risks including price volatility, forks, protocol changes, regulatory actions, and network disruptions. You assume all such risks.

The Company does not provide custody, brokerage, exchange, or financial advisory services with respect to digital assets.

The Company reserves the right to modify, suspend, or discontinue embedded wallet support or third-party integrations at any time without liability.

Use of the Service and any embedded wallet or digital asset features is prohibited for users who are located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to economic or trade sanctions, embargoes, or restrictions administered or enforced by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC") or any other applicable governmental authority.

By using the Service, You represent and warrant that You are not located in, a citizen or resident of, or otherwise subject to the jurisdiction of any such sanctioned or restricted jurisdiction, and that Your use of the Service does not violate any applicable sanctions laws or regulations.
