Please read these terms and conditions carefully before using Our Service.

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purposes of these Terms and Conditions:

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You must be at least 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Service and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

You can create an account with an email address and password, with Google or Facebook, or with a one-time code we email you. If you log in with Google or Facebook using the email address of an existing account, we connect it to that account. You're responsible for activity on your account and for keeping your password, email, and Google or Facebook accounts secure. You can close your account at any time by emailing info@hypercars.io. We may suspend or close accounts that break these Terms.

Spotter Pro and other paid plans are billed monthly through Stripe at the price shown when you subscribe, and renew automatically each month until you cancel. You can cancel anytime through Stripe. Cancellation takes effect at the end of the current billing period, and you keep access until then. Payments are non-refundable except where required by law, though we may make exceptions at our discretion.

Account emails: login codes, email verification, password resets, and notices about your account or these Terms. These are sent as long as you have an account.

Notifications: Spotter matches and summaries, a confirmation when you turn on notifications from a listing, Hyper Predictions results, friend requests, messages about your listings, and team invitations. Free accounts see a limited number of Spotter matches each week, as described on the Spotter page; the rest are saved to your dashboard. Every Spotter email has an unsubscribe link, and you can turn off Spotter notifications, friend requests and Hyper Predictions emails in Settings → Notifications.

Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately.

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither the Company nor any of the company's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.

If you opt in to Spotter text messages, you will receive text message notifications about new vehicle listings that match your search preferences.

You can cancel the SMS service at any time. Just text STOP to the number you received the notification from. After you send STOP to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just text SPOT to the same number or sign up as you did the first time and we will start sending SMS messages to you again.

Carriers are not liable for delayed or undelivered messages.

Hyper Predictions lets users predict auction outcomes. It uses points, which have no cash value and can't be exchanged for money or prizes.

Hyper Predictions is intended to be a game of skill and not a game of chance, lottery, casino, sportsbook, or traditional gambling activity.

Hyper Predictions and Hypercars Technologies Inc. are not affiliated with, endorsed by, sponsored by, or otherwise associated with any auction platforms, marketplaces, sellers, or listing providers whose data, listings, or auction outcomes may be referenced or used for purposes of Hyper Predictions.

Hyper Predictions does not operate, control, conduct, or participate in the underlying auctions or listings, does not act as a broker, agent, auctioneer, or intermediary, and has no influence over listing terms, bidding activity, reserve prices, seller behavior, or final auction outcomes.

Any references to third-party auctions, listings, prices, or results are provided solely for informational and predictive purposes. The accuracy, completeness, and availability of such information are not guaranteed, and Hypercars Technologies Inc. disclaims any responsibility or liability arising from errors, delays, cancellations, or changes related to third-party auction or listing activity.

Participation in Hyper Predictions is strictly limited to individuals who are at least eighteen (18) years of age, or the age of majority in their jurisdiction, whichever is higher.

Outcomes for Hyper Predictions are determined using publicly available, verifiable sources and methodologies selected by the Company in its sole discretion.

The Company's determination of outcomes, settlement, and resolution of predictions shall be final and binding, absent manifest error. The Company reserves the right to delay, void, adjust, or cancel outcomes due to data errors, technical issues, source unavailability, suspected manipulation, or extraordinary circumstances.

You agree not to engage in any conduct that undermines the integrity, fairness, or lawful operation of Hyper Predictions or any underlying third-party auctions, listings, or marketplaces referenced by the Service, including but not limited to market manipulation, collusion, coordinated activity, shill bidding, bid suppression, wash bidding, use of bots or automated systems, creation of multiple accounts, exploitation of platform vulnerabilities, interference with auction processes, or use of non-public or insider information.

The Company reserves the right to investigate, restrict, suspend, reverse, or terminate participation or accounts, with or without notice, where prohibited conduct is suspected, including conduct that impacts third-party auction integrity or outcomes used by Hyper Predictions.

Hyper Predictions is designed primarily as an informational and analytical tool to aggregate user insights, expectations, and collective judgment regarding auction outcomes. Data generated through Hyper Predictions may be used by the Company to inform, enhance, and power evaluations, analytics, pricing models, rankings, and market insights across the Hypercars platform.

Participation contributes to the creation of aggregate, anonymized, and statistical information that may be incorporated into Hypercars products and services for research, analytical, and product improvement purposes.

Individual predictions do not represent facts, guarantees, or authoritative outcomes and should not be relied upon as the sole basis for financial, purchasing, or investment decisions.

Hyper Predictions is provided for informational and entertainment purposes only and does not constitute investment, financial, legal, or professional advice.

Hyper Predictions is not offered as a security, commodity contract, or investment product and does not create any fiduciary relationship between You and the Company.

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits or data, arising from or related to Your use of Hyper Predictions.

You agree to indemnify, defend, and hold harmless the Company from any claims, damages, losses, liabilities, costs, and expenses arising out of Your use of Hyper Predictions, Your violation of these Terms, or Your violation of applicable law.

The Service may provide access to embedded digital asset wallets and related services powered by third-party providers, including Coinbase. These services are subject to the terms and policies of the applicable third-party provider.

The Company does not operate, control, custody, or have access to digital asset wallets, private keys, seed phrases, or assets held within embedded wallets.

All blockchain transactions are irreversible once confirmed. You are solely responsible for safeguarding Your wallet credentials and verifying transaction details.

The Company is not responsible for any loss resulting from wallet provider outages, smart contract failures, network congestion, incorrect addresses, unauthorized access, user error, gas fees, or third-party actions.

Use of digital assets involves inherent risks including price volatility, forks, protocol changes, regulatory actions, and network disruptions. You assume all such risks.

The Company does not provide custody, brokerage, exchange, or financial advisory services with respect to digital assets.

The Company reserves the right to modify, suspend, or discontinue embedded wallet support or third-party integrations at any time without liability.

Use of the Service and any embedded wallet or digital asset features is prohibited for users who are located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to economic or trade sanctions, embargoes, or restrictions administered or enforced by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC") or any other applicable governmental authority.

By using the Service, You represent and warrant that You are not located in, a citizen or resident of, or otherwise subject to the jurisdiction of any such sanctioned or restricted jurisdiction, and that Your use of the Service does not violate any applicable sanctions laws or regulations.

"Inputs" means any information, data, or content You enter, submit, upload, or transmit through the Service, including search queries, VINs, vehicle and listing details, saved searches and notification preferences, messages, prompts or instructions submitted to AI features or agents, and files. You acknowledge that the Company records and stores Inputs.

You retain any ownership rights You have in Your Inputs. By submitting Inputs, You grant the Company and its Affiliates a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable license to use, copy, store, reproduce, modify, analyze, create derivative works from, and otherwise exploit Your Inputs to operate, provide, maintain, improve, and develop the Service and the Company's other products, services, data, and technologies, including training, testing, and improving machine learning and artificial intelligence models. Our use of any Personal Data contained in Inputs is governed by our Privacy Policy.

The Company may create aggregated, anonymized, or de-identified data from Inputs and Your use of the Service, and the Company owns such data and may use it for any lawful purpose.

You represent and warrant that You have all rights necessary to submit Your Inputs and to grant the license above, and that Your Inputs do not violate any law or the rights of any third party.

If You provide suggestions, ideas, or feedback about the Service, the Company may use them without restriction or obligation to You.

The Service may include features powered by artificial intelligence, including agents that can take actions at Your direction ("AI Features"). AI Features may generate outputs that are inaccurate, incomplete, outdated, or inappropriate, including vehicle valuations, pricing estimates, histories, and market insights.

Outputs from AI Features are provided for informational purposes only and do not constitute financial, investment, legal, appraisal, or professional advice. You are solely responsible for independently verifying any output before relying on it, including before making any purchase, sale, bid, lending, or other decision.

AI agents act on Your instructions and on Your behalf. You are solely responsible for reviewing and authorizing any action taken by an AI agent, and for all communications, transactions, and other consequences resulting from Your use of AI Features, including any use that violates law or the rights of others.

You agree not to use the Service, including AI Features, to:

The Company may investigate and may suspend or terminate access for any violation.

The Company is not responsible or liable for the conduct of any user, whether online or offline, or for any use of the Service, including AI Features, that is harmful, unlawful, or in violation of these Terms. You are solely responsible for Your use of the Service and for any consequences arising from it.

You agree to indemnify, defend, and hold harmless the Company, its Affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to (a) Your use of the Service, including AI Features; (b) Your Inputs; (c) Your violation of these Terms; or (d) Your violation of any law or the rights of any third party.
